WHAT WE DO

House Ninja provides timely home maintenance, repair and improvement services at a reasonable cost-effective basis to a building or structure that you own (as specified by your walkthrough report (hereafter, your “House”)).

HIGHLIGHTS OF THE TERMS OF SERVICE

House Ninja understands how important it is for you to understand your legal rights and responsibilities as it relates to your use of our Site, App and/or Services. We spell out those rights and responsibilities completely in our Terms of Service below. We also know that legal documents can be confusing and take time to read, so we have summarized the basics of the Terms of Service in plain English here. Remember, the Terms of Service are what you actually agree to when you use House Ninja and this summary is not a substitute for reading the actual terms themselves.

YOUR RELATIONSHIP WITH HOUSE NINJA

  • You must follow any Terms of Service connected with our Site.

  • Whenever you use our Site, or Services your actions fall under the terms of a legal contract with us.

  • This contract is made up of the Terms of Use and any relationship you enter into with a vendor who provides services (“Vendor”).

  • If you violate the Terms of Service by providing inaccurate payment information or causing grief for Vendors, we can terminate you from the Site.

  • You can stop using our Services at any time, although we will be sorry to see you go. Sometimes you may incur fees for canceling Services if you prematurely terminate a long-term contract that has not yet ended.

  • While we don't plan to discontinue any service, we reserve the right to stop providing services to you or to add or create new limits to our Services at any time.

  • Since the Services are generally performed at a physical location, we will need to share certain of your personal information with the Vedpr(s) so that he/she/they can complete the Services you ordered.

  • You agree to arbitrate any matters in Travis County, Texas.

HOUSE NINJA’S RELATIONSHIP WITH YOU

  • House Ninja is committed to safeguarding your privacy online (please review our Privacy Policy).

  • While we cannot guarantee all work performed, we are committed to delivering satisfactory work, so help us out by promptly letting us know if there is a problem with any Services.

ABOUT YOUR RESPONSIBILITIES

  • Our goal is to put you back in charge of your life and business so that you are no longer at the mercy of Vendors who never show up when they say they will, do not perform at the level you expect, and charge you by rule-of-thumb. With that change in accountability come some responsibilities:

  • You are responsible for accurately describing the Services you would like performed.

  • You are responsible to pay for all the Services you agree to receive.

  • You need to make sure any Services are performed properly. If they are not and you do not timely report the inadequate performance of Services, we cannot help you.

  • It's your responsibility to look after your account security and passwords. Activities that happen on your account are your responsibility.

  • It’s your responsibility to report any claims within 30 days of occurrence.

TERMS OF SERVICE

House Ninja is a website (“Site”) and app ("App") made available by House Ninja, Inc. ("House Ninja", "we", "us", or "our") that acts as a communications platform to help you get "Services" completed by facilitating communication, scoping, pricing, scheduling, payment, and dispute resolution. By using the Site or App or requesting us to complete any Service, you are agreeing to be bound by the following terms and conditions ("Terms of Service"). IF YOU DO NOT WISH TO BE BOUND BY THESE CONDITIONS OF USE, PLEASE EXIT THE SITE NOW AND DO NOT USE ANY OF THE SERVICES. YOUR AGREEMENT WITH US REGARDING COMPLIANCE WITH THESE TERMS BECOMES EFFECTIVE IMMEDIATELY UPON COMMENCEMENT OF YOUR USE OF THE SITE OR SERVICES.

These Terms of Service are effective as of April 23, 2021, but we may change these Terms of Service from time to time. You agree that it is your responsibility to review these Terms of Service each time you use the Site to arrange Services and to familiarize yourself with any modifications. If you use the Site, App, or any Services after any modifications have been made to the Terms of Service, such use constitutes your acknowledgement and agreement to abide and be bound by the revised Terms of Service. These Terms of Service are in addition to any other agreements between you and House Ninja, including any customer, vendor or any other agreements that govern your use of information, content, tools, products and services available on or through the Site or App.

Violation of any of the terms contained herein may result in the suspension or termination of your account without a right to any refund.

DESCRIPTION OF SERVICE

Our Site and App represent communications platform that help to facilitate the completion of property-based Services (the "Services") significantly reducing the leg work that would otherwise be required for you to arrange and pay for services directly with one or more contractors. Once you request a Service, House Ninja will locate one or more vendor(s) to perform the Task ("Vendor") based on the timeline you designate for completion of the Service and will arrange with the Vendors to complete the Service. Once the Service has been completed, you will have an opportunity to review the Vendor’s work and to dispute the completion or quality of the Services. While House Ninja and the Site and App play an integral role in the completion of the Services, House Ninja does not physically complete any of the Services but instead contracts with Vendors to complete this work. Vendors are independent contractors of House Ninja and not within our direct control. We reserve the sole right to either modify or discontinue the Site, APp or any of the Services or features that might be available at any time with or without notice to you.

PAYMENT FOR SERVICES

When you request for a service to be performed, you will receive an estimate of the cost of the service, which you will be required to approve in order to proceed. In approving the estimate, you acknowledge that the final price may change based on the actual work required and performed, and you agree to pay for the services that are performed, materials that are used, and any applicable taxes or fees.

When a service has been completed, you will be required to approve the invoice and make payment within 7 days of the date from which the invoice was shared with you in any format by House Ninja. Once you approve the invoice, your payment for the service will be deemed earned by House Ninja and your payment method selected will be charged. If you take no action to approve the payment or to dispute the Service by 5:00 p.m. (Central Time) seven days following the day the invoice is received, the Service will be deemed to have been completed to your satisfaction and your payment to House Ninja will be deemed earned in full. Your payment method on file will be automatically charged for the invoice amount.

METHOD OF PAYMENT

A valid credit card or debit card, or bank account must remain on file for recurring Service fees. Once a task is completed and an invoice has been shared with you, House Ninja will charge your payment method on file for all costs, fees, or expenses associated with the selected Service. You hereby authorize us to charge your selected payment method for such amounts. Although all payments made to House Ninja are generally non-refundable, we, in our sole discretion and in exceptional circumstances may nevertheless refund the cost of a Service or credit your account if the selected Service is not performed to your satisfaction or to our standards of service.

UNACCEPTABLE BEHAVIOR

The following behavior or acts are strictly forbidden by House Ninja Homeowners and may result in immediate account termination:

  • Verbal, physical, written or other abuse (including threats of abuse or retribution) of any House Ninja user, employee, member, officer, or Vendor;

  • Use of our Sites, or of the Services if you are not able to form legally binding contracts, are under the age of 18, or are temporarily or indefinitely suspended from using our sites, services, or tools;

  • Circumvention or manipulation of our fee structure, the billing process, or fees owed to House Ninja;

  • Using the Site for any purpose prohibited by applicable law;

  • Any use that interferes with or disrupts the Site or any servers or networks that host or provide the Site;

  • Use or our Site to compete with our business and services;

  • Copying, modifying or distributing rights or content from the House Ninja website or app, or House Ninja’s copyrights and trademarks; or

  • Harvesting or otherwise collecting information about users, or contractors, including email addresses, without their consent, or any confidential or proprietary information of House Ninja, including without limitation its pricing structure, photos, links, text, data, content, Vendors or any other Site information.

CANCELLATION AND TERMINATION

You are bound by these Terms of Service at all times while you use the House Ninja website, or any Services. You agree that we may, in our sole discretion, terminate or suspend your access to all or part of the Site or Services with or without notice and for any reason, including, without limitation, breach of these Terms of Service, abuse of the Services, or past due payments. If House Ninja terminates or suspends your right to use the Service for any of these reasons, you will not be entitled to any refund even if you have prepaid for certain Services. In addition to terminating or suspending your account, House Ninja reserves the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress. Furthermore, any suspected fraudulent, abusive or illegal activity may be grounds for terminating your relationship and may be referred to appropriate law enforcement authorities.

Upon termination or suspension, regardless of the reasons, therefore, your right to use the Site immediately ceases, and you acknowledge and agree that we may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or this Site. We shall not be liable to you or any third party for any claims or damages arising out of any termination or suspension or any other actions taken by us in connection with such termination or suspension.

To cancel an account, please send an email notice of termination to [email protected] or written notice to 6001 W Parmer Lane, Set 370 #1412, Austin TX 78727. If you terminate your account, your account will be disabled within 14 days. All sections which by their nature should survive the expiration or termination of this Agreement shall continue in full force and effect subsequent to and notwithstanding the expiration or termination of this Agreement.

CONTRACTORS ARE NOT HOUSE NINJA EMPLOYEES

Services you request from House Ninja are completed by third-party Vendors assigned to your Service by the House Ninja. You are not required to work with the Vendor assigned to you through the Site and may reject the Vendor and have House Ninja identify an alternative Vendor to complete the Service, provided, however, that you reject the Vendor prior to the Vendor’s timely commencement of your Service. We are not an employment service and none of the Vendors are employees of House Ninja. Additionally, no agency, partnership, joint venture, employer-employee or franchisor-franchisee relationship is intended or created by this Agreement.

VENDOR SCREENING

When a Vendor registers with House NInja, they are required to input information and to make representations and warranties to House Ninja that they have all necessary licensing to complete the tasks that the Vendor has been requested to perform; that the Vendor's state filings are current; that neither the Vendor nor any of its employees and agents have been convicted of a felony within the past three years, ever been convicted of a sex offense, and is not listed on any sex offender registry; that there are no civil judgments against Vendor; and that the Vendor has adequate insurance coverage to help protect you. The Vendor screening is currently a "self-reporting" system and House Ninja is not responsible for verifying the information provided by any Contractor; provided, however, House Ninja reserves the right to do so. House Ninja may require, but is not obligated to require, each Vendor to provide proof to support its representations and warranties and to update those materials at least annually to maintain an account on the Site. House Ninja does not guarantee or warrant the information any Vendor submits.

CLAIMS & DISPUTES & LIMITED WARRANTY

All claims and disputes related to any Services are governed by House Ninja’s Limited Warranty, which is signed by each user upon signing up for membership. Please email [email protected] to see a copy of the Limited Warranty.

PRIVACY POLICY

House Ninja cares about your privacy and wants you to know how we collect, use, and disclose data. This Privacy Policy covers the collection, use, and disclosure of data collected via www.HouseNinja.co where this Privacy Statement is posted or linked (collectively, the “Site”). This Privacy Statement also describes your legal rights with regard to such data. By using this Site, you are subject to the terms and conditions of this Privacy Statement.

DATA COLLECTION BY HOUSE NINJA

We collect or obtain data relating to you in a variety of ways, as described below. The data we collect may include personal information that alone or in combination with other information identifies you as an individual or can be reasonably linked to your identity. 

DATA YOU PROVIDE

When you submit questions, request information, or provide feedback via this Site, we may ask you for data, including your name, address, telephone number, credit card number and email address so we can respond or follow up on inquiries and to process payments.

You may also make requests through this Site to exercise your individual rights under applicable privacy laws. We will collect and maintain data related to such requests in order to respond to you and for our audit and legal compliance purposes.

We do not request data that may be considered “special” or “sensitive” personal data (e.g., government-issued identification numbers or information related to an individual’s racial or ethnic origin, political opinions, religious or other beliefs, health, criminal background, or union membership) from visitors to this Site, and we ask that you not provide such data. If we specifically require “special” or “sensitive” personal data in connection with one or more of the uses described below, we will request your consent to use the data in accordance with this Privacy Statement and/or in the ways described at the point where you were asked to disclose the data. If you voluntarily share with us or post/upload any “special” or “sensitive” personal data to this Site for any other reason, you consent that we may use such data in accordance with applicable law and this Privacy Statement.

Please note that any information or materials you post or disclose on this Site via message boards, chats, profile pages, blogs, and other services (including social media services) are publicly available and will be seen by other visitors to this Site. You should consider this when deciding to disclose any personal data or any other information on this Site.

DATA COLLECTED FROM YOUR USE OF THIS SITE

We automatically receive certain data about the computer or device you are using when you visit this Site, including your Internet Protocol (IP) address; information about the browser or type of device you are using; data collected through cookies, pixel tags, and other similar technologies (as described below in the “Cookies and Other Internet Technologies” section); the date and time of your visit; and the web page you visited immediately prior to visiting this Site. DATA USE BY HOUSE NINJA

  • Administer and manage this Site, communicate with you about this Site, process your requests for information, or otherwise complete a transaction or service you request or authorize and to process payment information; 

  • Customize or personalize your user experience and the content we deliver to you, as well as provide you with content that is more relevant to you;  

  • Contact you about House Ninja’s products and services, provide you with promotional materials or offers for products/services from House Ninja, or send you other communications about House Ninja’s business and events (including communications based on your interests, personal and business characteristics, and location, collectively, “marketing communications”). We may provide these communications and offers via email, postal mail, online, social media platforms, text messages, and other means; 

  • Carry out our internal business purposes, such as corporate transactions, audits, and data analysis; conduct research and analytics about your use of this Site and interaction with us; develop new products; improve this Site and our existing products and services; identify usage trends; assess the performance of our advertisements; optimize our advertising campaigns; and determine the effectiveness of our communications; 

  • Protect the rights, safety, property, or operations of House Ninja, you, or others; comply with applicable law and/or respond to requests and communications from law enforcement authorities or other government officials.

In the event you subscribe to a House Ninja mailing list, you may unsubscribe at any time by clicking on the “unsubscribe” link in any of our marketing communications to you. After you unsubscribe, we will not send you further marketing communications, but we may continue to contact you to the extent necessary for the purposes of any services you have requested.

We will never use your personal data to advertise, promote, or market third-party goods or services to you. Additionally, we will not license or publish any of your personal data. We do not and will not sell any personal data to third parties for their own commercial use.

  • Governmental and public authorities, in each case to comply with legal or regulatory obligations or requests; and

  • Other third parties as we believe necessary or appropriate: (a) under applicable law; (b) to comply with legal process; (c) to enforce our terms and conditions; (d) to protect our operations and those of any of our affiliates; (e) to protect our rights, privacy, safety, or property, and/or those of our affiliates, you, or others; and (f) to allow us to pursue available remedies or limit damages that we may sustain.  

In addition, this Site may contain content and plugins from social media platforms, like Facebook (“Like” button), Twitter (“Share to Twitter”), LinkedIn, and others. These plugins allow you to share information from this Site to your timeline or account. When you connect to these services, the third parties may store and/or access data (including through the use of cookies and other similar technologies) over which we do not have control. Unfortunately, no data transmission over the internet or data storage system can be guaranteed to be 100% secure.
